End User License Agreement (EULA) for ERPSY Software

Introduction

This End User License Agreement (“EULA”) is a legal agreement between you (“User” or “you”) and TaaSPAK, LLC (“Company” or “we” or “us”) for the use of ERPsy (“Software”). By using the Software, you agree to be bound by the terms of this EULA. If you do not agree to the terms of this EULA, do not use the Software.

License Grant
  1. License: Company grants you a revocable, non-exclusive, non-transferable, limited license to use the Software strictly in accordance with the terms of this EULA. The license is granted per user.
Restrictions
  1. Prohibited Uses:
    • You may not modify, reverse engineer, decompile, or disassemble the Software.
    • You may not rent, lease, lend, sell, redistribute, or sublicense the Software.
    • You may not use the Software to engage in any unlawful activity or to infringe the rights of third parties.
Ownership
  1. Intellectual Property: The Software is licensed, not sold. The Company retains all rights, titles, and interest in and to the Software, including all intellectual property rights.
Termination
  1. Termination: This EULA is effective until terminated. Your rights under this EULA will terminate automatically without notice from the Company if you fail to comply with any term(s) of this EULA. Upon termination, you must cease all use of the Software immediately.  The Customer has the option to migrate to a “read-only” user license for any number or all Authorized Users. This license will be provided at a rate of $25.00 per user, per month. The “read-only” access will allow users to view and access data without the ability to make edits or modifications. Upon end termination at the Customer’s request, the Provider will provide an exported raw data backup via file share and/or a backup via secure FTP to the Customer in a form or format determined by the Provider, containing all Customer raw data.
Updates
  1. Updates: The Company may provide updates, enhancements, or modifications to the Software at its discretion. Any such updates shall be subject to the terms of this EULA unless accompanied by a separate license agreement.  We will notify you of any changes by posting the new Privacy Policy on our website and updating the “Effective Date” at the top of this policy. You are advised to review this Privacy Policy periodically for any changes.
Warranty Disclaimer
  1. Disclaimer: The Software is provided “as is” without warranty of any kind, either expressed or implied, including, but not limited to, the implied warranties of merchantability, fitness for a particular purpose, or non-infringement. The Company does not warrant that the Software will be uninterrupted or error-free, or that defects will be corrected.
Limitation of Liability
  1. Limitation: In no event shall Company be liable for any special, incidental, indirect, or consequential damages whatsoever (including, but not limited to, damages for loss of profits, loss of data, or other information, for business interruption, for personal injury, loss of privacy arising out of or in any way related to the use of or inability to use the Software), even if the Company has been advised of the possibility of such damages.
Governing Law
  1. Governing Law: This EULA shall be governed by and construed in accordance with the laws of State of Georgia, without regard to its conflict of laws principles.
Severability
  1. Severability: If any provision of this EULA is held to be invalid or unenforceable, the remaining provisions of this EULA will remain in full force and effect.
